For this purpose, the Company’s share capital was increased from EUR 6,591,105 by a nominal amount of EUR 659,110.00 to EUR 7,250,215 through the issuance of 659,110 new no-par value bearer shares, excluding shareholders’ subscription rights under the simplified exclusion procedure. The new shares carry dividend rights from the 2023 financial year onwards. The proceeds from the capital increase are intended to strengthen HWA AG’s equity base.
The new shares were subscribed for by Aufrecht GmbH and Dörflinger Management & Beteiligungs GmbH (“DMB”) as part of a private placement exempt from prospectus requirements. Aufrecht GmbH is represented by Hans Werner Aufrecht and DMB by Willibald Dörflinger. Both gentlemen are major shareholders of HWA AG and also serve as members of the Company’s Supervisory Board.
The placement price was set at EUR 4.15 per share and therefore does not significantly undercut the current market price of HWA AG shares. The new shares are intended to be admitted to trading on the Open Market (Freiverkehr) of the Frankfurt Stock Exchange with simultaneous inclusion in the “Basic Board” segment.
The gross proceeds from the transaction are expected to amount to approximately EUR 2.74 million.
